1. Introduction and Agreement

Welcome to Podzy! These Terms and Conditions ("Terms") govern your access to and use of the Podzy application, website (podzy.io), and related services (collectively, the "Service"). The Service is owned and operated by **ArtifiQ S.E.N.C.** ("we," "us," or "our").

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference on the page below under Privacy Policy.

If you do not agree to these Terms or the Privacy Policy, you may not use the Service.

2. Description of Service

Podzy is an application designed to help users generate personalized podcast scripts based on the content of their emails. To use the Service, you must authenticate using your Google Account. You grant Podzy permission to:

- Access your basic profile information (name, profile picture, user ID, email address, email verification status) via Google OAuth (`https://www.googleapis.com/auth/userinfo.profile`).

- Access your list of Gmail labels (`https://www.googleapis.com/auth/gmail.labels`).

- Read the content of emails within your Gmail account
(`https://www.googleapis.com/auth/gmail.readonly`), **but only those emails bearing the specific Gmail label you designate within the Podzy application.** This reading occurs either manually triggered by you via the interface or automatically once per day (around midnight in your configured timezone) for emails received that day under the designated label.

- Upload files (generated podcast scripts) to your Google Drive account (`https://www.googleapis.com/auth/drive.file`) into a folder you configure or to the root level if no folder is specified.


The Service processes the content of the designated emails (after applying a basic cleaning algorithm) using Google's Gemini AI API to generate podcast scripts according to parameters you may set.

3. User Accounts and Responsibilities

- Eligibility:You must be at least 18 years old or the age of majority in your jurisdiction (e.g., Quebec) to use the Service.

- Google Authentication:Access to the Service requires authentication via your Google Account. You are solely responsible for maintaining the confidentiality and security of your Google Account credentials and for all activities that occur under your account.

- Permissions: You are responsible for granting and managing the necessary permissions within your Google Account for Podzy to function. You can revoke these permissions at any time through your Google Account settings, which will prevent the Service from operating.

- Email Content: You represent and warrant that you have the necessary rights and permissions to use the content of the emails under the label you designate for use with the Service. You are solely responsible for the selection of the Gmail label and the content within those emails.

- Google Drive Configuration: You are responsible for configuring the correct Google Drive folder for script uploads if you choose to specify one.

Acceptable Use: You agree not to use the Service:

- For any unlawful purpose or in violation of any applicable laws.

- To process emails or generate content that infringes upon the intellectual property rights, privacy rights, or other rights of any third party.

- To process emails containing sensitive personal information that you are not authorized to process or disclose.

- To overburden, damage, or impair the Service or interfere with any other party's use of the Service.

- To attempt to gain unauthorized access to the Service, user accounts, or computer systems.

4. Intellectual Property

- Our Service: We retain all rights, title, and interest in and to the Service, including its software, design, branding, and all underlying technology, excluding User Content (as defined below).

- User Content: The content of your emails remains your property ("User Input Content"). The podcast scripts generated by the Service based on your User Input Content ("Generated Content") are created for you.

You retain ownership rights to the Generated Content produced for you through your use of the Service. You grant us a temporary, non-exclusive, royalty-free license to use your User Input Content solely for the purpose of providing the Service to you (i.e., generating the scripts).

5. Third-Party Services

- Google Services: The Service relies heavily on Google services (Gmail API, Drive API, Google Cloud, Google OAuth).

Your use of these Google services is subject to Google's own terms of service and privacy policies. We are not responsible for the availability, functionality, or security of Google's services.

- Gemini API: We use Google's `Gemini AI API` to generate podcast scripts.

As described in our Privacy Policy, cleaned User Input Content (from your designated emails) is temporarily sent to this API for processing. Your use of the Service constitutes acknowledgment of this processing step.

7. Disclaimers

THE SERVICE IS PROVIDED ON AN **"AS IS"** AND **"AS AVAILABLE"** BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

(A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;

(B) THE GENERATED CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE;

(C) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR

(D) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU USE THE SERVICE AND RELY ON ANY GENERATED CONTENT AT YOUR OWN RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES,

RESULTING FROM:

(A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;

(B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING GOOGLE SERVICES OR THE GEMINI API;

(C) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING THE GENERATED CONTENT; OR

(D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE LAST SIX MONTHS FOR THE SERVICE.

9. Indemnification

You agree to defend, indemnify, and hold harmless **ArtifiQ S.E.N.C.**, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

(a) your use of and access to the Service;
(b) your violation of any term of these Terms;
(c) your violation of any third-party right, including without limitation any copyright, property, or privacy right, related to your User Input Content or your use of the Generated Content; or
(d) any claim that your User Input Content caused damage to a third party.

10. Termination

- By You: You may stop using the Service at any time. You can disconnect the Service from your Google Account via your Google Account settings.

- By Us: We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Sections 4 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 11 (Governing Law), and 13 (Miscellaneous) shall survive any termination.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the **Province of Quebec, Canada**, without regard to its conflict of law principles.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by **the competent courts located in the judicial district of Sherbrooke, Quebec.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect (e.g., by posting on our website or notifying you through the Service or via email if collected for this purpose).

What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

13. Miscellaneous

- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede all prior agreements or understandings.

- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

- No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

- Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. We may freely assign or transfer these Terms without restriction.

Use of Google Workspace APIs


If you choose to connect your Google account to Podzy, we may access specific Google Workspace APIs (such as Gmail) to retrieve content you have explicitly authorized, including newsletters or other email communications. This access is used solely to deliver the core functionality of Podzy—for example, converting newsletter content into audio-friendly formats for your personal use.


We do not use any data obtained through Google Workspace APIs to develop, improve, or train generalized artificial intelligence (AI) or machine learning (ML) models. All data access and handling are strictly limited to the permissions you grant and the services we provide.


Podzy’s use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
